1. Acceptance of Terms
By engaging Mind Vertex Core Co., Ltd. (“the Company”, “we”, “us”, “our”) for behavioral analytics diagnostics, session audit evaluations, or advisory consultations, or by accessing our website at https://mind-vertexcore.click/, you agree to be legally bound by these Terms of Engagement. If you do not agree with any portion of these terms, you must not commission our services or utilize our website.
2. Scope of Diagnostic Services
Mind Vertex Core Co., Ltd. provides specialist session behavior analysis, digital funnel friction teardowns, and human interaction diagnostic evaluations. All services are performed as advisory consultancy. We do not provide software licenses, hosted SaaS subscriptions, or guarantee specific third-party commercial conversion metrics, as client implementation decisions and market conditions remain outside our direct control.
3. Client Responsibilities & Data Access
To perform session behavior audits, clients may grant temporary, read-only access to anonymized session replay tools, analytics platforms, or staging environments. The client warrants that:
- All provided session recordings have been stripped of personally identifiable information (PII), payment card details, and sensitive credentials in accordance with applicable privacy legislation.
- The client possesses the full legal authority to provide access to such analytics streams.
- Client stakeholders will participate in scheduled scoping calls and the final diagnostic walkthrough in a timely manner.
4. Intellectual Property & Deliverable Rights
- Client Materials: All proprietary application interfaces, designs, source code, and internal telemetry data provided by the client remain the exclusive intellectual property of the client.
- Audit Deliverables: Upon receipt of full payment for an engagement, the client receives an irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute the custom diagnostic report, annotated video breakdowns, and remediation blueprints for internal business purposes.
- Company Methodologies: Mind Vertex Core retains all rights, title, and interest in its proprietary diagnostic frameworks, taxonomy systems, analytical algorithms, and general audit methodologies.
5. Confidentiality & Non-Disclosure
We treat all client session recordings, product roadmaps, conversion metrics, and business data with strict confidentiality. Both parties agree to execute a standard bilateral Non-Disclosure Agreement (NDA) prior to the exchange of proprietary telemetry or technical access credentials.
6. Limitation of Liability
To the maximum extent permitted by applicable law:
- Mind Vertex Core Co., Ltd. shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, revenue, data, or business opportunities arising out of or related to our advisory reports or recommendations.
- Our total aggregate liability for all claims related to any diagnostic engagement shall not exceed the total fees actually paid by the client to Mind Vertex Core for that specific engagement.
7. Governing Law & Dispute Resolution
These Terms of Engagement and any separate agreements whereby we provide you services shall be governed by, and construed in accordance with, the laws of the Kingdom of Thailand (TH). Any dispute, controversy, or claim arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts located in Phuket, Thailand.
